1. Acceptance of Terms

By creating an account, accessing, or otherwise using ConsultBae Gigs, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy and any additional policies or guidelines referenced herein. These Terms form a binding agreement between you and ConsultBae India Pvt. Ltd.

If you are entering into these Terms on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case the terms “you” or “your” shall refer to such entity.

Your continued use of the Platform following any modification to these Terms constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically to stay informed of any updates.

2. Eligibility

To use the Platform, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract under the laws of your jurisdiction. By using the Platform, you represent and warrant that you meet these eligibility requirements and are not prohibited from using our services under any applicable law.

You must be legally competent to contract and must not be barred from receiving services under the laws of the Republic of India or any other applicable jurisdiction. If you are registering as a vendor or on behalf of an organization, you further represent that you are duly authorized to act on behalf of that organization.

ConsultBae reserves the right, at its sole discretion, to refuse, suspend, or terminate access to the Platform if eligibility requirements are not met or if any information provided is found to be false, inaccurate, or misleading.

3. Account Registration and Security

To access most features of the Platform, you must register for an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account details to ensure they remain accurate and complete at all times.

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify ConsultBae immediately of any unauthorized access or use of your account, or any other breach of security.

ConsultBae will not be liable for any loss or damage arising from your failure to safeguard your login information. We strongly recommend using a strong, unique password and enabling any additional security features made available on the Platform.

You may not share, sell, transfer, or assign your account to any third party without our prior written consent. Each account is intended for use by a single individual or authorized entity only.

4. User Roles

ConsultBae Gigs supports multiple user roles, each with distinct responsibilities and access levels on the Platform:

• Freelancers: Individual contributors who apply to and participate in AI data, annotation, evaluation, and related projects offered on the Platform. Freelancers engage with projects on a per-task or per-project basis.
• Vendors: Companies or organizations that supply workforce, expertise, or services to projects. Vendors may manage teams, coordinate deliverables, and interface with ConsultBae on behalf of their workforce.
• Internal Team: Authorized ConsultBae personnel who manage, review, audit, and administer the Platform, projects, users, and payouts.

Each role is granted access to specific features and data relevant to the responsibilities of that role. ConsultBae reserves the right to modify role definitions, access levels, and permissions at any time to ensure the integrity and security of the Platform.

5. Project Participation and Obligations

When you participate in a project on the Platform, you agree to perform your tasks diligently, in good faith, and in accordance with the project-specific instructions, guidelines, quality standards, and timelines communicated by ConsultBae or its clients.

You represent and warrant that all work submitted is original (unless expressly permitted otherwise), does not infringe on the intellectual property rights of any third party, and complies with all applicable laws and regulations. You further agree not to engage in fraudulent, deceptive, or low-effort submissions that could compromise the quality or integrity of a project.

ConsultBae and its clients reserve the right to review, audit, reject, or request revisions to any submissions that fail to meet quality standards. Tasks that are found to be inadequate, fraudulent, or non-compliant may be rejected without payment.

You acknowledge that participation in any specific project is not guaranteed and may be subject to eligibility criteria, selection processes, and client requirements. ConsultBae does not guarantee continued availability of work or any minimum volume of projects.

6. Payment Terms

All payouts to freelancers and vendors are processed by ConsultBae in accordance with the agreed rates and terms specified for each project. Payouts will be made only for tasks that have been reviewed, accepted, and approved as meeting the required quality standards.

Payouts are typically denominated in United States Dollars (USD), though ConsultBae may offer alternative currencies at its discretion. Payment methods vary by region and may include bank transfers, digital wallets, or other electronic payment channels. Available methods will be communicated during onboarding or at the time of payout processing.

While ConsultBae endeavors to process payouts in a timely manner, the exact timing of any individual payout is not guaranteed and may depend on factors such as client approvals, audit completion, payment processor schedules, banking cycles, and regulatory requirements. You acknowledge that payout timelines are indicative only and ConsultBae shall not be liable for delays beyond its reasonable control.

You are solely responsible for any applicable taxes, duties, levies, or other statutory obligations arising from payments received through the Platform. ConsultBae may withhold or deduct amounts as required by applicable law.

7. Intellectual Property

Unless otherwise expressly agreed in writing, all work product, deliverables, annotations, labels, evaluations, and any other output created by you in connection with projects on the Platform (collectively, the “Work Product”) shall be the exclusive property of ConsultBae and/or its clients, as applicable. You hereby irrevocably assign and transfer all right, title, and interest in and to the Work Product to ConsultBae and/or its clients.

To the extent any rights in the Work Product cannot be assigned by operation of law, you grant ConsultBae and its clients a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and create derivative works from the Work Product for any purpose.

The Platform and all associated content, including but not limited to trademarks, logos, designs, text, graphics, software, and code, are the property of ConsultBae or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from the Platform without our prior written consent.

You retain ownership of your pre-existing intellectual property that you independently developed prior to participating in any project, provided it is not incorporated into the Work Product.

8. Confidentiality and NDAs

In the course of your engagement with ConsultBae Gigs, you may receive or have access to confidential information belonging to ConsultBae, its clients, or other users. “Confidential Information” includes, without limitation, project details, client names, task instructions, data samples, business strategies, technical information, source code, and any information designated as confidential or that should reasonably be understood to be confidential.

You agree to hold all Confidential Information in strict confidence and not to disclose, copy, reproduce, distribute, or use any Confidential Information for any purpose other than performing your tasks on the Platform. This obligation survives the termination of your account and continues indefinitely.

Certain projects may require you to execute a separate Non-Disclosure Agreement (NDA) or additional confidentiality terms. Participation in such projects is contingent on your acceptance of those additional terms.

Unauthorized disclosure or misuse of Confidential Information may result in immediate termination of your account, forfeiture of any unpaid amounts, and legal action for damages and injunctive relief.

9. Data Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using the Platform, you consent to the collection and use of your data in accordance with our Privacy Policy.

We collect information you provide directly (such as registration details, profile data, tax information, and project submissions), as well as information collected automatically through cookies, analytics, and similar technologies. This may include device information, IP address, browser type, usage data, and interaction logs.

ConsultBae uses cookies and similar tracking technologies to enable core Platform functionality, measure Platform performance, and improve user experience. You can manage cookie preferences through your browser settings, though disabling cookies may limit certain features.

We implement reasonable technical and organizational measures to protect your personal data, but no system is entirely secure. You acknowledge that you provide your information at your own risk and agree to the data practices described in our Privacy Policy.

10. Prohibited Conduct

You agree not to engage in any of the following prohibited activities while using the Platform:

• Providing false, inaccurate, or misleading information during registration or in your profile.
• Creating or maintaining multiple accounts, or sharing your account with others.
• Submitting fraudulent, low-effort, plagiarized, or machine-generated work where not permitted.
• Using automated tools, bots, scrapers, or scripts to interact with the Platform without authorization.
• Attempting to gain unauthorized access to the Platform, other user accounts, or any related systems.
• Disclosing or misusing confidential project information, client data, or Platform contents.
• Harassing, threatening, defaming, or discriminating against other users or ConsultBae staff.
• Circumventing payment systems or attempting to solicit off-platform transactions for projects sourced through the Platform.
• Uploading or transmitting any malicious code, viruses, or harmful content.
• Violating any applicable local, national, or international laws or regulations.
• Engaging in any activity that disrupts or interferes with the Platform's operation or security.
• Using the Platform for any purpose other than its intended use.

Engaging in any prohibited conduct may result in warnings, suspension, permanent termination of your account, forfeiture of pending payments, and potential legal action.

11. Termination and Suspension

ConsultBae reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to a breach of these Terms, fraudulent activity, quality issues, or inactivity.

You may terminate your account at any time by contacting us or using the account deletion features provided on the Platform. Upon termination, your right to access and use the Platform will cease immediately, though certain provisions of these Terms (including intellectual property, confidentiality, limitation of liability, and dispute resolution) shall survive termination.

If your account is terminated due to a breach of these Terms, ConsultBae may, at its discretion, withhold any unpaid amounts owed to you and pursue any remedies available under applicable law.

We may retain certain information after termination as required by law or for legitimate business purposes, such as fraud prevention, record keeping, and audit.

12. Limitation of Liability

To the maximum extent permitted by applicable law, ConsultBae, its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of the Platform.

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that the Platform will be error-free, secure, or free from malicious content.

In no event shall ConsultBae's aggregate liability to you exceed the total amount of payouts made to you through the Platform in the three (3) months immediately preceding the event giving rise to the claim, or one hundred US dollars (USD $100), whichever is greater.

You agree to indemnify and hold ConsultBae harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your breach of these Terms, or your violation of any rights of another party.

13. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform, the parties shall first attempt to resolve the matter amicably through good-faith negotiations between authorized representatives.

If the dispute cannot be resolved through direct negotiations within thirty (30) days, the parties agree to attempt mediation through a mutually agreed mediator in Gurgaon, Haryana, India. The costs of mediation shall be shared equally between the parties unless otherwise agreed.

If the dispute remains unresolved after mediation, it shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, with the seat of arbitration in Gurgaon, Haryana, India, and the language of arbitration being English. The decision of the arbitrator shall be final and binding on both parties.

Notwithstanding the above, ConsultBae retains the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to enforce these Terms.

14. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-laws principles.

Subject to the dispute resolution provisions set forth in Section 13, you agree that the courts located in Gurgaon, Haryana, India shall have exclusive jurisdiction to adjudicate any disputes arising out of or relating to these Terms or your use of the Platform.

You agree to submit to the personal jurisdiction of such courts and waive any objection to the laying of venue or forum inconvenience. Any legal action must be commenced within one (1) year after the cause of action arises, or such action shall be barred.

16. Changes to Terms

ConsultBae reserves the right, at its sole discretion, to modify, update, or replace any part of these Terms at any time. When we make material changes, we will make reasonable efforts to notify you, such as by sending an email to the address associated with your account, posting a notice on the Platform, or updating the “Last updated” date at the top of this page.

Your continued access to or use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Platform and may terminate your account.

It is your responsibility to review these Terms periodically for changes. We encourage you to check this page regularly to stay informed about our current policies and practices.

Non-material changes, such as clarifications, formatting updates, or corrections, may be made without advance notice. In the event of any conflict between the most recent version of these Terms and any previous version, the most recent version shall prevail.
